3 Lakes Logistics LLC ("3 Lakes," "we," "us," or "our") is a freight dispatch and logistics technology company providing dispatch services, load brokerage support, compliance assistance, and related back-office services to independent owner-operators and small trucking fleets. Our principal place of business is in the United States.
Our services are available to:
You must be at least 18 years old, legally authorized to operate a commercial motor vehicle (where applicable), and capable of entering into a binding contract to use our services. By using our services, you represent that you meet these requirements.
3 Lakes provides dispatch services on a non-exclusive basis. We source loads from load boards and shipper/broker relationships, present available loads to carriers, negotiate rates on your behalf, and handle paperwork coordination (rate confirmations, BOLs, PODs). We are a dispatch service provider — we are not a licensed freight broker unless separately stated in your Carrier Agreement.
Our standard dispatch fee is a percentage of the gross load rate, as specified in your executed Carrier Agreement. The fee is deducted from settlement proceeds. Rates, percentages, and any minimum fees are detailed in the Carrier Agreement and may be updated with 30 days' written notice.
We do not guarantee the availability of loads, minimum earnings, or continuous dispatch coverage. Load availability depends on market conditions, your equipment type, operating region, and compliance standing.
You remain solely responsible for: safe operation of your vehicle; compliance with all FMCSA, DOT, state, and local regulations; maintaining valid operating authority, insurance, and permits; hiring and supervising your drivers; and fulfilling all obligations under load contracts you accept.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our platform solely for your internal business operations in connection with 3 Lakes dispatch services.
You agree not to:
We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages, or circumstances beyond our control may cause temporary unavailability. We are not liable for losses arising from service interruptions.
The 3 Lakes Driver App enables real-time GPS tracking of your vehicle while in-transit on an active load. By accepting a load through the app, you consent to location tracking for the duration of that load. Location data is used for load management, delivery confirmation, and compliance purposes. You may review our Privacy Policy for full details on data collection and use.
Settlement for delivered loads is processed as agreed in your Carrier Agreement, typically within 2–7 business days of receiving verified proof of delivery (POD). Timing may vary based on broker payment terms.
Amounts deducted from gross settlement may include: dispatch fee, fuel advances (if any), any agreed-upon insurance contributions, chargebacks from prior loads, and any amounts owed under your Carrier Agreement.
If you believe a settlement is incorrect, you must notify us in writing within 15 days of the settlement date. We will investigate and respond within 10 business days. Failure to dispute within 15 days constitutes acceptance of the settlement.
Electronic payments are processed through Stripe. By receiving payments through our platform, you agree to Stripe's Terms of Service and Connected Account Agreement.
To receive dispatch services, you must maintain at all times:
You authorize us to verify your compliance status through FMCSA databases and third-party sources. We reserve the right to suspend dispatch services if your compliance status lapses.
All content, software, trademarks, trade names, and other intellectual property associated with the 3 Lakes platform are owned by 3 Lakes Logistics LLC or its licensors. Nothing in these Terms grants you any ownership rights. You retain ownership of documents and data you upload to our platform.
Each party may receive confidential information from the other (including rates, customer identities, and business processes). Each party agrees to keep such information confidential and not disclose it to third parties without prior written consent, except as required by law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3 LAKES LOGISTICS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES YOU PAID US IN THE 90 DAYS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless 3 Lakes Logistics LLC and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any accident, injury, or property damage arising from your trucking operations; or (e) any third-party claim related to cargo you transported.
Either party may terminate the service relationship with 30 days' written notice. We may suspend or terminate your access immediately, without notice, if you: breach these Terms; violate applicable law; have your operating authority revoked; allow your insurance to lapse; or engage in fraudulent or abusive conduct.
Upon termination, your license to use the platform is revoked. Sections 8–12, 14, and 15 survive termination.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
