Carrier Dispatch Agreement

This Carrier Dispatch Agreement ("Agreement") is entered into between 3 Lakes Logistics LLC, a limited liability company organized under the laws of the State of California ("Dispatcher," "3 Lakes," "we," or "us"), and the carrier identified in the signature block below ("Carrier," "you," or "your").

1. Relationship of the Parties

3 Lakes is a dispatch service provider, not a licensed freight broker, unless separately disclosed in writing. 3 Lakes acts as an agent of the Carrier for the limited purpose of sourcing and negotiating freight loads. Nothing in this Agreement creates an employment relationship, partnership, joint venture, or franchise between the parties. Carrier is an independent contractor and is solely responsible for its business operations, vehicles, employees, and compliance obligations.

2. Services Provided by 3 Lakes

3 Lakes agrees to provide the following services ("Dispatch Services") during the term of this Agreement:

3 Lakes does not guarantee a minimum number of loads per week, minimum gross revenue, or that Carrier will be dispatched on any particular schedule. Load availability depends on market conditions, Carrier's equipment type, preferred lanes, and compliance standing.

4. Dispatch Fee Schedule

In consideration for Dispatch Services, Carrier agrees to pay 3 Lakes a dispatch fee as follows:

The applicable fee tier is identified in Exhibit A (attached). Fees are calculated on the gross load rate before any deductions (including fuel surcharges, accessorials, and detention). The dispatch fee is deducted from settlement proceeds prior to remittance to Carrier.

4.1 Fee Changes

3 Lakes may modify the dispatch fee with 30 days' written notice to Carrier. Continued use of Dispatch Services after the effective date of the new fee constitutes acceptance.

4.2 Minimum Fee

A minimum fee of $50 per dispatched load applies where the percentage-based fee would otherwise be less. This minimum may be waived in writing for specific lanes or load types.

5. Settlement & Payment

5.1 Payment Process

3 Lakes will remit payment to Carrier for delivered loads after receiving verified Proof of Delivery (POD) and confirmed payment from the broker or shipper. Standard settlement is processed within 2–7 business days of receipt of POD and broker/shipper payment. Quick Pay options (same-day or next-day) may be available at a fee of 2–3% of the load rate, subject to availability.

The following may be deducted from Carrier's gross settlement before remittance:

Payments are made via ACH direct deposit or check. Electronic payments are processed through Stripe. By receiving electronic payments, Carrier agrees to Stripe's Terms of Service.

5.4 Disputed Settlements

Carrier must dispute any settlement in writing within 15 days of the settlement date. 3 Lakes will investigate and respond within 10 business days. Failure to dispute within 15 days constitutes acceptance of the settlement amount.

6. Insurance Requirements

Carrier must maintain the following insurance at all times during the term of this Agreement and must name 3 Lakes Logistics LLC as a certificate holder:

Carrier must provide a Certificate of Insurance (COI) upon execution of this Agreement and upon each renewal. Carrier must notify 3 Lakes at least 5 business days before any cancellation or material reduction in coverage. 3 Lakes reserves the right to suspend Dispatch Services immediately if insurance coverage lapses.

7. Authority & Compliance Verification

Carrier authorizes 3 Lakes to verify Carrier's operating authority, safety rating, and compliance status through FMCSA's SAFER system, DAT, and other third-party databases at any time during the term of this Agreement. 3 Lakes may suspend Dispatch Services without notice if Carrier's authority is revoked, insurance lapses, or safety rating falls to "Unsatisfactory."

8. Technology Platform

Carrier will be granted access to the 3 Lakes Eagle Eye dispatch platform and Driver App subject to the Terms of Service. Platform access is provided solely for use in connection with Dispatch Services and is revoked upon termination of this Agreement. Carrier is responsible for maintaining the security of login credentials and for all activity occurring under its account.

9. GPS Tracking & Telematics

By accepting loads through the Driver App, Carrier and its drivers consent to real-time GPS location tracking for the duration of each active load. Location data is used for load management, delivery confirmation, and safety purposes. Carrier represents that it has obtained any required consents from its drivers. Data handling is governed by the Privacy Policy.

10. Carrier's Responsibility for Operations

Carrier remains solely and exclusively responsible for:

3 Lakes has no responsibility or liability for Carrier's operations, personnel, or the condition of Carrier's vehicles.

11. Cargo Claims

Carrier is liable for loss, damage, or delay to cargo in its possession. Carrier must report any cargo claim to 3 Lakes within 24 hours of delivery (or failed delivery). 3 Lakes will assist in coordinating claim documentation with the broker or shipper but is not responsible for the payment or resolution of cargo claims. Carrier's cargo insurance is Carrier's primary coverage for all cargo claims.

12. Confidentiality

Both parties agree to keep confidential all proprietary information received from the other party, including load rates, broker identities, customer relationships, and business processes ("Confidential Information"). Confidential Information may not be disclosed to third parties without prior written consent. Carrier specifically agrees not to contact brokers or shippers introduced by 3 Lakes directly for purposes of circumventing 3 Lakes' dispatch services during the term of this Agreement and for 6 months following termination.

13. Non-Solicitation

During the term of this Agreement and for 12 months after termination, Carrier agrees not to solicit or hire any employee, contractor, or agent of 3 Lakes with whom Carrier had direct contact in connection with Dispatch Services.

14. Term & Termination

14.1 Term

This Agreement begins on the date signed and continues until terminated by either party.

14.2 Termination with Notice

Either party may terminate this Agreement at any time with 30 days' written notice to the other party.

3 Lakes may terminate this Agreement immediately, without notice, if Carrier:

Upon termination, platform access is revoked. Outstanding settlements for completed loads will be paid per the normal schedule. Sections 10, 11, 12, 13, 15, 16, and 17 survive termination.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3 LAKES' LIABILITY TO CARRIER UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL DISPATCH FEES PAID BY CARRIER TO 3 LAKES IN THE 90 DAYS PRECEDING THE CLAIM. 3 LAKES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST LOADS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Indemnification

Carrier agrees to indemnify, defend, and hold harmless 3 Lakes Logistics LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) Carrier's trucking operations; (b) any accident, injury, or property damage involving Carrier's vehicles; (c) any cargo claim; (d) Carrier's violation of any law or regulation; (e) Carrier's breach of this Agreement; or (f) any claim by Carrier's drivers or employees.

17. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute shall first be addressed through good-faith negotiation for 30 days. If unresolved, disputes shall be submitted to binding arbitration under the JAMS Streamlined Arbitration Rules in Los Angeles, California. The arbitrator's decision is final and binding. Each party waives any right to a jury trial or class action.

18. Entire Agreement & Amendments

This Agreement, together with any executed Exhibit A (Fee Schedule) and the 3 Lakes Terms of Service and Privacy Policy (incorporated by reference), constitutes the entire agreement between the parties regarding Dispatch Services and supersedes all prior agreements, representations, or understandings. Amendments must be in writing and signed by both parties.
